General Terms and Conditions of Sale
Any purchase made on the website www.patriziapepe.com (hereinafter also “Site”) is governed by these general terms and conditions of sale (hereinafter also “General Conditions”) that Tessilform S.p.A. (hereinafter also “Tessilform”), with registered office in Via P. Gobetti 7/9, Campi Bisenzio (FI), reserves the right to modify it at any time by publishing a new version on the Site.
Before finalizing any purchase, the Customer is required to carefully read these General Conditions that are available on the Site, in order to allow their storage and reproduction in compliance also with art. 12 of Legislative Decree 70/2003.
The General Conditions applicable are those in force at the time the order is placed. In the event that you proceed to purchase a product on the Site, you accept these General Conditions in full, without reservation and/or exception.
Contracts concluded through the Site are governed by the Italian Civil Code and Chapter I of Title III of Part III of Legislative Decree no. 206 of September 6, 2005, (hereinafter also the “Italian Consumer Code”), with particular reference to contracts negotiated away from business premises and distance contracts.
In these General Conditions “Customer” means the Customer consumer, a natural person who purchases the product for purposes unrelated to his commercial, entrepreneurial or professional activity possibly carried out, which is different from the Customer professional legal person, entrepreneur and any other person with VAT number, who purchases a good for professional purposes or related to his business.

Product information
Information about each individual product and its essential characteristics, rendered in accordance with current legislation, is available on the Site and made cognizable to the Customer.
The product information provided on the Site is constantly updated. However, it is not possible to guarantee the complete absence of errors. Images of products may not be perfectly representative of their characteristics but different in colour, size, accessory products represented. The photographs of the products on the Site are purely illustrative and therefore not binding.
Tessilform reserves the right to correct errors, inaccuracies or omissions even after an order has been submitted and also to change or update the information at any time without prior notice to the Customer.

Placement and acceptance of orders
In order to place an order to purchase a Product on the Site, it is necessary that the Customer has reached the age of majority (18 years). It is not necessary for the Customer to be a registered user; in that case, he will place the order as a “guest.” Having read and accepted the Privacy Policy and the aforementioned Terms and Conditions, he must fill out every part of the order form in electronic format containing the elements necessary for the identification of the Customer and the products ordered; he must select his favoured payment option from those indicated on the Site, the delivery option chosen by following the instructions contained in the Site, all under penalty of nullity of the order.
Fulfilled orders will be binding for Tessilform only after the Customer has received our confirmation by e-mail (hereinafter also “Order Confirmation”) that the order process has been duly completed, the payment has been properly authorized and the products are available, in whole or in part, according to the quantities ordered. It is suggested that you print out the Order Confirmation and keep it. If the Customer does not receive the Order Confirmation, he should contact us.
The sale price applied to the purchased goods corresponds to the price indicated on the Site at the time of placing the order, which with the submission of the order is considered accepted. No refund may be requested if the price should change afterwards.
Tessilform reserves the right to refuse, by way of example and without limitation, orders from Customers with whom there has been a dispute and/or a claim, even if still pending resolution, in the event of a breach of the General Conditions of Sale, in the event of repeated exercise of the right of withdrawal and in any case whenever Tessilform, at its sole discretion, deems the Customer unsuitable for any reason. In such cases Tessilform will inform the Customer by e-mail that the order has not been accepted, refunding any amounts that may have already been received.
In case of unavailable products, after the execution of the order, the same will not be sent, the Customer will be notified and the amount paid will be fully refunded to him. Tessilform will send the Customer a subsequent e-mail when the product is shipped.

Delivery Terms and Conditions 
It is up to the Customer to choose from the delivery terms offered on the Site. Delivery options other than those listed are not permitted. The delivery terms listed in the delivery options indicate the period of time usually required to deliver the products.
Delivery of orders is free of charge for all Customers who include in the order a product at full price or for a minimum spending amount of Euro 250.00 (two hundred and fifty/00). The Customer may decide to pick up the product at a single-brand “Patrizia Pepe” store, without the application of shipping costs.
Orders will be delivered by courier to the place indicated by the Customer at the time of the product purchase order. The maximum delivery time, except for events attributable to the courier or third parties and therefore exogenous from Tessilform’s will, is estimated at n. 15 working days for Italy and n. 30 working days for abroad. Tessilform accepts no liability for any damage, loss or theft of goods during transport, since these are events whose effects are borne by the Customer and/or the carrier at the time of delivery of the goods. It will be the Customer's responsibility to file claims and/or take legal actions against the carrier or the latter's insurance company.
Tessilform disclaims any liability for any delivery delay if such delay or failure to deliver is due to force majeure events such as, by way of example but not limited to: third party strike actions, terrorism, war, natural disasters, adverse weather conditions or pandemic (hereinafter also “Force Majeure”). In such cases, Tessilform will contact the Customer as soon as possible to report the issue and will take all necessary measures to minimize the impact of the delay.

When payment is made by 2 p.m. on the day the order is placed.
Deliveries are made: for standard shipping by UPS or TNT or other similar courier, and for express shipping by DHL or other similar courier, if you wish to receive your order with express delivery you must select the aforementioned method during checkout. If the Customer has entered an incorrect delivery address causing a failure of delivery, the package will be returned to Tessilform. Tessilform cannot be held liable for any delay or failure in the delivery of an order if it is due to force majeure or otherwise caused by events beyond its control.

Terms and conditions of payment
The prices charged for the products ordered are those in effect on the day the purchase order is issued. The price of each individual product is indicated on the page dedicated to it within the catalogue and includes VAT and any other taxes but does not include the cost of shipping. Shipping costs are indicated within the purchase process and change depending on the shipping location selected. All costs related to shipping can be found under “shipping” at the footer of the patriziapepe.com Site.
It is up to the Customer to choose from the payment terms offered on the Site. Payment options other than those indicated are not permitted. The Customer may choose from the different payment options: Visa, MasterCard, Scalapay, Satispay, Amazon Pay, Paypal, Union Pay, cash on delivery. The aforementioned payments are subject to authorization by the companies providing the service. In the event that Tessilform does not receive payment authorization, the order will be automatically cancelled and notification will be sent by email of the failure of the order.
For cash on delivery, payment is made to the courier upon delivery of the purchased product. To the amount of the product and shipping costs must be added for Italy, the amount of euro 5.00 (five/00), for abroad the amount of euro 8.00 (eight/00), as a contribution to the cash on delivery payment. Payment must be made only with banknotes or coins directly to the courier. Only exact sums corresponding to the amount of the order are accepted: there is no return of change. Bank or cashier's checks will not be accepted. Cash payments will be accepted only if within the legal threshold.

Electronic payment methods
For your safety, please note that payments made by credit card/PayPal are processed through a Virtual POS system managed directly by the appropriate credit institution. We do not have access to your credit card information. The Site through which the transaction takes place complies with SSL security standards and the transmission of your credit card information is the responsibility of that Bank.

Right of withdrawal and effects
The right of withdrawal referred to in this article and in the following paragraph is reserved exclusively to the Consumer Customer and not to the Professional Customer, in accordance with the relevant legislation in force.
Pursuant to the Italian Consumer Code, for purchases of products made over the Internet or away from business premises, the Consumer-Customer may always exercise the right of withdrawal, without penalty and without having to give any justification within the term of 14 (fourteen) calendar days from the delivery of the goods (or of the last good for multiple orders).
In the event of a return, it will be necessary to follow the procedure specified in the Returns section and the goods must be returned to Tessilform and entrusted to the courier within 14 days from the date of receipt of the order, in both cases the postmark will be considered authentic.
Please also note that returns for which the online return procedure will be entered within the timeframe provided, but which will be sent after 14 days from receipt, will not be accepted.
In any case, the Customer must return the product intact with no signs of use, with its identification tag, label and guarantee seal, in its original packaging, with the relevant transport and purchase documents.
The delivery of the product will be borne entirely by Tessilform as long as you follow the return procedure indicated in the appropriate section. If the return has been made by the above and the goods have been received and verified by us, Tessilform will issue a refund of the amount paid using the same method of payment chosen for the purchase procedure, within a maximum of 14 (fourteen) days from when it became aware of the withdrawal (date of receipt of the withdrawal form).
The reimbursement of payments made by cash on delivery will be made using a different payment option to be agreed between Tessilform and the Customer.
Tessilform will inform the user of the status of the return in all its stages: receipt of the return and acceptance thereof.
The right of withdrawal is excluded in the case of the purchase of made-to-measure or customised products.
The right of withdrawal is also excluded in the case of removal of the guarantee seal from the product, which constitutes an alteration of the substantial integrity of the product. No refunds will be made for products returned without the guarantee seal.
Once the procedure set out in this article has been activated, it is also possible to return all or part of an order to one of our Patrizia Pepe flagship shops by going to the shop of your choice with the products to be returned.

Conditions of return for e-commerce orders
The goods must be returned in their original packaging. Only the label generated during the return request by the website or present directly inside the package must be affixed to the package, which will be one for each box, and sent by TNT, UPS or DHL courier, depending on the courier specified on the label.
The return request procedure by the website (by accessing the Order Status section) is mandatory to receive the refund and must be carried out for each order. The return label used must be exclusively the one associated with the order number for which the return is being made.
It is not possible to make returns relating to orders generated on different dates within a single cumulative shipment.
Once the return has arrived at our warehouse, if the label used is not the one that corresponds to the order for which the return was requested, Patrizia Pepe reserves the right not to accept the return and therefore not to issue a refund as it will not be possible to ensure the correct and full return of the garments..

Legal Warranty
Tessilform Spa guarantees that the products sold on the Site are free from defects and faults and comply with Italian and European Union (EU) legislation applicable to them.
All products sold by Tessilform Spa to the Consumer Customer are covered by the legal warranty of 24 (twenty-four) months from the date of delivery of the goods, provided for conformity defects pursuant to and in accordance with articles 128 et seq. of the Italian Consumer Code and subsequent amendments and integrations.
Pursuant to article 133 of the Italian Consumer Code, the Warranty referred to in this paragraph shall only apply to Customers purchasing from the website www.patriziapepe.com or from physical shops authorised by Tessilform Spa. In all other cases, consumers must contact the final seller.
In order to initiate the procedure for verifying a lack of conformity, the Consumer Customer must contact Customer Care, using one of the dedicated channels available in the ‘Customer Care’ section, and must provide a copy of the product purchase document (receipt/invoice or sales slip) along with any other requested documentation proving shipment and delivery of the goods.
Once the report of non-conformity of the purchased product has received, Tessilform Spa will activate the return process. If the product defect is confirmed by the quality department, the transport costs related to the returned or refunded goods will be borne by us. 
The Customer must strictly follow the instructions received from Tessilform Spa and is required to return the defective product in its original packaging, intact in all its parts and with the warranty seal still in place. Failure to comply with this requirement may result in the refusal of replacement or refund.
Upon receipt of the “defective” product and verification of the reported issues, Tessilform S.p.A. will proceed with either replacing the item or issuing a refund of the amount paid, as agreed with the Customer.
In case of non-conformity of the purchased product, the Customer-consumer is entitled to the restoration of conformity or the termination of the sales contract under the conditions set out in Articles 135-bis, 135-ter and 135-quater of the Italian Consumer Code.
The legal warranty does not apply if the damage was caused by the Consumer Customer, or if the consumer knew or could have easily recognized the product's defect at the time of purchase, unless, in this case, the seller claimed the product was free from defect. The legal warranty also does not apply if the defect arises from instructions or materials provided by the consumer. Additionally, damage or product faults caused by negligence, misuse, improper use, or normal wear and tear are not covered.

Applicable law and Jurisdiction
All orders accepted by Tessilform S.p.a are understood to be placed in Italy and these General Conditions are governed and interpreted exclusively under Italian law.
In contracts with the Consumer-Customer, for any dispute regarding the validity, interpretation and execution of these General Conditions, will fall under the exclusive jurisdiction of the Court of the place of residence or domicile of the Consumer, provided it is within Italian territory. Otherwise, for foreign Consumers, the Court of Florence shall have exclusive jurisdiction.

The European Commission provides consumers resident in Europe with a platform for non-judicial alternative dispute resolution, also cross-border, accessible at http://ec.europa.eu/consumers/odr/

Processing of personal data
The Parties undertake to imprint the processing of personal data collected in the context of contractual activities with respect for the principles of correctness, transparency, lawfulness and protection of the confidentiality and rights of the data subjects, in compliance with national (Legislative Decree 196/2003 and ss.mm.ii. and Legislative Decree 101/2018) and European (EU Regulation 2016/679 - GDPR) regulations in force on the protection of personal data. Organization, management and control model pursuant to Legislative Decree 231 of 2001 and Code of ethics of Tessilform S.p.A.
The Customer declares that he/she is familiar with the contents of Legislative Decree No. 231 of June 8, 2001, and undertakes to refrain from any conduct that may constitute the offences referred to in the Decree. The Customer also declares to have read the Code of Ethics of Tessilform S.p.A. (which can be consulted on the website www.patriziapepe.com) in its latest approved version and undertakes to comply with it and to adapt his conduct to the principles expressed therein, for the entire duration of these General Conditions or in any case of his collaboration with Tessilform S.p.A., as well as to promptly report any violations, even alleged violations, of the aforesaid principles/provisions, using the specially activated e-mail box: organismodivigilanza@adrfirm.it. 
The Customer undertakes to verify during the course of the contractual relationship any further updates to the Code of Ethics and to comply with its contents. The Customer also declares to be aware that compliance with these provisions is an essential element for Tessilform S.p.A.
Failure by the Customer to comply with any of the provisions of the aforementioned Code of Ethics constitutes a serious breach of the obligations under these General Conditions and entitles Tessilform S.p.A. to terminate them with immediate effect by simple written notice, pursuant to and for art. 1456 of the Italian Civil Code, and to the effect to terminate any other agreement, contract, commitment or covenant however named, existing between the Parties (including companies belonging to the same Group) and always without prejudice to Tessilform S.p.A.'s right to claim compensation for damages.

Final provisions
If one or more of the provisions of these General Conditions should be deemed invalid or otherwise  unenforceable or inapplicable, such fact shall not result in the invalidity of these General Terms and Conditions as a whole or of the remaining provisions, all of which shall continue to be in full force and effect.
The possible tolerance of one of the Parties to acts or omissions of the other Party that are in violation of the provisions of these General Conditions shall not be interpreted as a waiver of the rights deriving from the violated provisions nor of the right to demand their exact fulfilment and damages, if any.
